These Terms of Service govern the professional advisory services, training programs, and educational resources provided by Kabrina W Bass Consulting ("Company"). By engaging our consulting services, enrolling in our training sessions, or utilizing our institutional resources, clients agree to these terms.

Definitions

"Company" refers to Kabrina W Bass Consulting LLC.

"Client" refers to any public agency, municipality, educational institution, nonprofit organization, faith community, or individual entering into an agreement with the Company.

"Services" refers to all advisory consultations, dispute system design, executive facilitation, professional training, certified mediation education, and technical assistance provided by the Company.

1. Scope of Services

The Company delivers institutional capacity building, dispute system design, restorative conflict resolution, leadership succession planning, and professional mediation training. Clients include local governments, public sector departments, 501(c)(3) nonprofits, civic coalitions, and faith-based communities. Services are customized to the client's operational context and are formally defined within individual project contracts or letters of engagement.

2. Terms of Engagement

All engagements require an executed contract, project agreement, or statement of work (SOW) before services begin. The agreement outlines the specific project scope, delivery timeline, travel expenses (if applicable), and fee structure.

3. Collaborative Delivery & Client Participation

KWBC services are delivered through a collaborative, co-design model. To ensure project timelines and deliverables are met, clients agree to provide necessary contextual information, access to designated personnel, and timely approvals as outlined in the project agreement.

4. Rescheduling and Cancellation

Clients must provide a minimum of 48 hours’ written notice to reschedule or cancel scheduled facilitation, coaching, or training sessions. Cancellations received with less than 48 hours’ notice may be subject to a rescheduling fee or session forfeiture, as stipulated in the project agreement.

5. Payment and Invoicing

Payments must follow the schedule set forth in the executed agreement. For private and nonprofit entities, late payments may be assessed a 5% monthly fee, and services may be paused if invoices remain unpaid past 14 days. Government and public agency payments are governed by applicable state prompt payment statutes or municipal procurement guidelines specified in the contract.

6. Confidentiality & Non-Disclosure

The Company maintains strict confidentiality regarding all internal records, personnel disclosures, and sensitive operational data shared during advisory or mediation engagements, consistent with our Privacy Policy and relevant professional mediation standards.

7. Intellectual Property

All proprietary frameworks, training curricula, dispute system models, templates, and facilitation instruments developed by the Company remain the intellectual property of Kabrina W Bass Consulting, unless transferred or licensed in writing within the contract.

8. Limitation of Liability

The Company provides advisory, educational, and facilitation services designed to support institutional decision-making. The Company does not provide legal representation or binding judicial decrees, and is not liable for indirect, incidental, or consequential damages resulting from organizational implementation of advisory recommendations.

9. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of South Carolina. Consistent with our commitment to constructive conflict navigation, any dispute arising under this agreement shall first be submitted to good-faith negotiation. If unresolved, the matter shall be submitted to formal mediation in South Carolina before initiating any litigation.

10. Policy Amendments

The Company reserves the right to update these Terms of Service to reflect statutory requirements or operational updates. The current version will always be maintained at kabrinabass.org/terms.
